I. General regulations
1. general and scope of application
- These Terms of Use apply to the services provided by JDF Consulting GmbH
(hereinafter also referred to as “we”) to the user (hereinafter referred to as “User”
) in connection with the use of our MOCO Community. - These Terms of Use and all services that we provide to users with
of our MOCO Community apply exclusively to users who act as
entrepreneurs. An entrepreneur is a natural or legal person or a
partnership with legal capacity who or which, when entering into a legal transaction, acts in exercise of
their trade, business or profession (Section 14 of the German Civil Code (BGB)). - General terms and conditions of users shall not apply, regardless of whether users
expressly refer to them or we do not expressly object to them. General
terms and conditions of users only become part of a
contract concluded between us if we expressly agree to them. Individual agreements between
and us in offers, order confirmations, declarations of acceptance etc. take precedence over the provisions
of these Terms of Use.
2. subject matter of the contract
- With the AGENCYFLOW MOCO Community (hereinafter also referred to simply as the “MOCO Community”
), we provide users with a community for agencies, IT service providers, management consultancies and service providers
with the aim of conveying the advantages of MOCO and the information and automation that is accessible and profitable for them
. They can then use the time
gained to make their day-to-day work more enjoyable and easier. - The technical functions and content-related service components that we provide to users with our
MOCO Community are developed or provided by us and by service providers commissioned by us
and placed there for users to access or use.
All functions and services that we provide to users with our MOCO Community and its
technical options are hereinafter also referred to as “services”. - The subject of these Terms of Use is the provision of the MOCO Community as a web solution accessible via a browser
, including the member area and its services and the option to use the MOCO Community
via a previously created profile. In addition, users have the option of booking additional functions
for a fee in accordance with our pricing model. - By providing the MOCO Community and its services, we act neither as a broker nor as any other
intermediary for contracts concluded between users or between users and third parties.
Users are solely responsible for all contracts and legal relationships between each other or between users and third parties
. We do not become a party to such contracts or agreements. - An overview of the entire service portfolio of our MOCO Community can be found in the service description,
, which is available in its respective version on our website
https://agencyflow.io/
.
3. community function
- In our MOCO Community, users have the option of using so-called “community functions”, i.e. social functions for
interaction with other users. In this section, we explain exactly what these functions are and what you need to bear in mind
. 3. - Users can share experiences, contributions, posts, photos, videos, texts and images with other users.
Other users can also interact with this content, for example by sharing it, commenting on it
or rating it. In the following, all of this content and interaction options are also referred to collectively as “user content”
. - User content can be tagged with topics and hashtags to categorize it and make it easier for other users to find
. Users can send each other private messages via the chat and message function. - When creating and sharing user content and in connection with the dissemination of information
as part of the use of our services, users are independently responsible for ensuring that no third-party rights, in particular no
copyrights of third parties, are infringed and that we are granted the rights of use to the user content that we require to provide our services
. Users therefore grant us a simple
right of use to their user content for the purposes of our MOCO Community, unlimited in terms of time and space and valid for all types of use without restriction, unless we request further
rights of use from users in individual cases. We have the right to remove or block user content at any time if we
determine that it violates the rights of third parties, these GTC or statutory regulations. In terms of content, all user content
is subject to the further regulations on dealing with illegal content in accordance with section 13 below.
4. use of our services & registration
- Registration as a user is required to use our services. Only natural persons with unlimited legal capacity can register as users
. - To register, the registration form provided must be filled out completely and truthfully and sent to us. Information provided by the user
must not infringe the rights of third parties or offend common decency. We are entitled to request written evidence to verify the data provided
. - By submitting the registration form, users submit a binding offer to us to conclude a contract of use for the MOCO Community.
The contract of use is concluded when we confirm the registration and activate the user account. Each user may only register once
. - If users register for a company or other organization, a partnership or a legal entity,
they guarantee that they are authorized to legally represent and bind them. - To use our services, at least the following technical requirements are necessary:
- Internet connection
- Current Internet browser
5. contract duration & termination
- The duration of the existing contract of use between us is based on the duration of the service booked by the user. The terms of fee-based
versions can be found in the respective price model. As a rule, these are subscription periods of one month or one year. The following applies:
that the respective selected terms of chargeable versions are deemed to be the “basic term”. - Cancellation is possible until the end of the respective basic term. The termination can be sent in text form (by e-mail) to
hallo@agencyflow.io should be addressed. - If the contract is not terminated at the end of the respective basic term, the term of the user contract shall be extended by the original basic term.
- An upgrade of the selected price model or an extension of the booked services is possible at any time with immediate effect. The reduction of the number of users
or the downgrading of a price model is possible at any time with effect from the next billing period (i.e. to extend the basic term). - The right to extraordinary termination for good cause (Section 314 BGB) remains unaffected. Good cause exists for us in particular if (i) users
seriously violate these Terms of Use, (ii) users are in arrears with the payment of costs for the use of chargeable services despite a
reminder and a grace period for payment of at least two calendar weeks or (iii) if we decide to no longer offer the MOCO Community
and discontinue the operation of the MOCO Community.
6. right to use our services
- Users receive a simple, non-exclusive right to use
our services, limited in time to the duration of the respective contract and unrestricted in terms of territory. - Users are not entitled to exhibit, publicly reproduce, in particular make available to the public, edit, redesign, translate, decompile or otherwise
redesign our services. The rights of users under Sections 69d (3), 69e UrhG remain unaffected. - We have the right to remove or block user content at any time if we determine that it violates the rights of third parties, these Terms of Use or
legal regulations. In terms of content, the further regulations on dealing with illegal content in accordance with section 13 below apply to all user content. - The content of our services is our exclusive property or our exclusive rights holder or the property / rights holder of
our service providers. All content is protected by national and international law, in particular copyright law. Unauthorized distribution, reproduction,
exploitation or any other infringement of our industrial property rights and copyrights will be prosecuted under civil and/or criminal law.
7. availability
- For technical reasons, we cannot guarantee the permanent and complete availability of the servers on which our services are operated. The availability of our MOCO Community or individual services may therefore be limited at times
– in particular due to the need to carry out maintenance or repair work. - We would like to point out that there may be restrictions or impairments in the use of the MOCO Community that are beyond our control.
These include, in particular, actions by third parties who are not acting on our behalf, technical failures beyond our control and force majeure. - We reserve the right to restrict access to the MOCO Community in whole or in part, temporarily or permanently, due to maintenance work, capacity issues and other events beyond our control,
. - In the event of force majeure, we are entitled to postpone our services for the duration of the hindrance plus a reasonable start-up time,
insofar as we are actually unable to provide the service. Force majeure includes events for which we or a subcontractor are not responsible and which were not foreseeable at the time the contract
was concluded, such as operational disruptions, strikes, lockouts, staff shortages, pandemics and epidemics, official orders and similar circumstances. The right of each party to terminate
the contract of use for good cause in the event of prolonged force majeure remains unaffected.
8. liability
- Our liability arising from the contract concluded between us, irrespective of the legal grounds, for damages suffered by users is limited to the amount of damages typically foreseeable at the time of conclusion of the contract
and on the merits to essential contractual obligations, insofar as the damage was caused by us or by a legal representative or vicarious agent
through simple negligence. A material contractual obligation is an obligation whose fulfillment is essential for the proper execution of the contract and on whose compliance
users may regularly rely. - The aforementioned limitation of liability shall not apply and we shall be liable without limitation in terms of amount in the event of injury to life, limb or health and in the event of intentional, grossly negligent
or fraudulent action. The same applies to the written assumption of a guarantee for the quality or durability of a service to be provided by us. - Liability for indirect damages or loss of profit is excluded. The same applies if users suffer damage as a result of misinterpreting information that they find in our MOCO Community
or from our services and take appropriate action on this basis. - Our liability under the Product Liability Act remains unaffected.
- If claims are made against us by other users or third parties due to actions carried out by users on or in connection with the use of our MOCO Community and resulting legal violations
and without us being responsible or at fault, the respective responsible users are obliged to indemnify us against all claims in connection with this, subject to the liability and
responsibility regulations applicable to us by law. In addition, users must reimburse us for the costs of an appropriate legal defense and other costs incurred by
as a result of the claim.
9. principles for the provision of our services
- With our MOCO Community and its services, we merely provide users with a technical basis for the purposes to be mapped by them within the limits of the purchased services.
Subject to the validity of statutory liability obligations and subject to the provisions in these Terms of Use, we assume no responsibility for the actions performed with our MOCO Community
or for the content processed with our MOCO Community. The agreements and contracts that users
conclude with other users or third parties with whom or for whom they use our MOCO Community, or alternatively, the law, apply to all actions performed and content processed by users with our MOCO Community. - The aforementioned obligation to comply with the contracts and laws applicable to users and their intentions applies in particular when users use our services for processes and actions that users carry out as part of
their work for an organization, such as a company, a public authority, an association or a public institution. In this case, we explicitly point out that users are independently responsible
for using our MOCO Community with the consent of their supervisor or the management of their organization or in accordance with the laws applicable to them and the processes to be carried out with our MOCO Community. - In the MOCO Community, users have the option of creating additional authorized users. For this purpose, we provide the user or users or the authorized persons created by users with corresponding passwords and access codes.
Users are responsible for providing the correct information for this process about each authorized person created by the customer (names, e-mail addresses and contact information) and for keeping this information up to date at all times.
Users must oblige each authorized person created to comply with these Terms of Use and all regulations referred to herein. - We ensure that the data processed with our services can be accessed via the Internet and exported by users in a common, comprehensive, structured and machine-readable format. Subject to
deviating regulations regarding the processing of personal data, users may at any time request the surrender or transmission of their data to themselves or to a third party named by them in a comprehensive, structured and machine-readable
format. We will not charge users for this or only charge reasonable costs for any expenses incurred on our part. Furthermore, we will support the transfer of their data to a third party named by users within the scope of our possibilities
and provide the necessary information for this. - In principle, the provisions of tenancy law apply to the use of our services. Maintenance measures such as troubleshooting, updates or further developments are part of our service. Further support is offered if agreed accordingly
. In addition to the maintenance measures, the statutory warranty for rental defects shall apply. - Adjustments, changes and additions to our services as well as measures that serve to identify and rectify malfunctions will only lead to a temporary interruption or impairment of accessibility if this is absolutely necessary for technical reasons.
- Users may not transfer our services to third parties for commercial use.
- Links or functionalities in our services may take users to third-party websites and software that are not operated by us and for which we are not responsible. Such links or functionalities are either clearly marked or recognizable by a change in the address line of the browser or a change in the user interface.
- We reserve the right to change, adapt and increase the functionality of our services and the related documents and attachments, taking into account the interests of our users, provided that we do not thereby breach our main contractual obligations to users.
- We secure our systems against virus attacks. Nevertheless, a virus attack can never be completely ruled out. In addition, it is possible that unauthorized third parties may send messages using our name without our consent that contain viruses or so-called spyware, for example, or link to web content that contains viruses or spyware. We have no influence over this. Users should therefore check all incoming messages sent under our name. This also applies to any messages from other users.
- We are not responsible for any damage or loss of data that may result from the installation of software not originating from us on users’ end devices.
- Users undertake not to pass on their end device or user account under any circumstances or to use the end device or user account, login name or password of another user without authorization. If a third party uses the user account of a user after obtaining the access data because the user concerned has not adequately secured it against unauthorized access, the user must be treated as if they had acted themselves.
- In the event of reasonable suspicion that access data has been disclosed to unauthorized third parties, we are entitled, but not obliged, for security reasons, to change the access data independently at our own discretion without prior notice or to block the use of the account. We will inform the authorized user of this immediately and, upon request, provide him with the new access data within a reasonable period of time. Users are not entitled to have the original access data restored.
- Users must inform us immediately as soon as they become aware that unauthorized third parties are aware of the access data to their user account or that unauthorized third parties are using their end device. We would like to point out that access data should be changed regularly for security reasons.
- It is prohibited to use our services:
- infringe third-party property rights such as trademarks, copyrights and naming rights,
- harass, insult, cheat or degrade other users and third parties,
- create or upload content that is obscene, offensive, defamatory, discriminatory or otherwise unlawful,
- upload illegal, discriminatory or otherwise inappropriate content or personal data of users or third parties without their consent,
- use the MOCO community for the deliberate dissemination of false information, spam or malicious software,
- copy, crawl, scrape or otherwise use the MOCO Community for purposes other than those specified in the Terms of Use,
- Use any measures, mechanisms or software in connection with the MOCO Community that may interfere with the function and operation of the MOCO Community,
- to take measures that could result in an unreasonable or excessive burden on the technical capacities of the MOCO community,
- block, overwrite or modify content,
- add elements to the MOCO Community or change, delete or modify elements of the MOCO Community in any other way,
- copy, extract or otherwise use graphic elements or attempt to decompile the source code of the MOCO Community (subject to § 69e UrhG),
- use tools that interfere with the operation of the MOCO community (in particular so-called “bots”, “hacks” etc.),
- to obtain premium functions or other advantages, such as the systematic or automatic control of the MOCO Community or individual functions of the MOCO Community, through the use of third-party software or other applications, or to exploit program errors to one’s own advantage (“exploits”),
- distribute commercial advertising for third-party products or programs in connection with our services,
- to use documents, files, third-party IT systems and data containing malicious code or viruses in connection with our services,
- use mechanisms, software and scripts that go beyond the functionalities and interfaces provided, in particular if this blocks, modifies, copies or overwrites our services, and
- impair our services by altering data (§ 303a StGB), computer sabotage (§ 303b StGB), falsification of evidence (§ 269, 270 StGB), suppression of evidence (§ 274 StGB), computer fraud (§ 263a StGB), spying on data (§ 202a StGB), interception of data (§ 202b StGB) or other criminal offenses.
- We are entitled to refuse access to our MOCO Community and to block or exclude users or to extraordinarily terminate any contract concluded between us after stating legitimate reasons if we receive repeated complaints about specific users or if the provisions of a contract concluded with us and these Terms of Use, other requirements communicated by us or compliance with statutory regulations are repeatedly disregarded. We will inform the user concerned of this immediately and give them the opportunity to comment. Before a complete blocking or complete exclusion, we will inform the user concerned of this a reasonable time in advance, stating the relevant reasons. If the user removes the reason that led to the rejection, blocking or exclusion, we will consider re-admission to our MOCO Community.
10. integrated services
- To provide our services, we sometimes use the services of other providers who work with artificial intelligence (hereinafter also referred to as “integrated services”). Among other things, we use Integrated Services for the automated generation and creation of texts and content, for the optimization of processes or the structuring of unstructured data sets. Where required by law, content generated with the support of Integrated Services is marked.
- The following applies to the use of our services that potentially make use of integrated services:
- We give neither a guarantee nor a warranty for the correctness and usability of the answers and results provided by the Integrated Services. They may therefore be incorrect. Any actions derived from them should therefore not be based on their content without verification.
- We give neither a guarantee nor a warranty for the permanent availability of the Integrated Services. As these are provided by other organizations, we have no influence on the technical availability.
- We give neither a guarantee nor a warranty that the answers and results are freely usable. We would like to point out that all answers and results may be protected by (copyright) law. Such protection generally prohibits, in particular, the redistribution of the answers and results.
- Users decide for themselves and are therefore responsible for what information and data they share with our services that make use of Integrated Services. We do check the Integrated Services to ensure that they comply with the applicable laws and our guidelines. Nevertheless, users should not share any information and data that is subject to data protection or confidentiality protection or that constitutes particularly sensitive information about themselves, their employees, customers, third parties, etc.
- Unless expressly warranted or required by law or unless we are at fault, we assume no responsibility for any responses and results or acts or omissions by our users resulting from the use of our services that rely on Integrated Services. This means that we are not liable for the correctness and accuracy of the answers and results of the Integrated Services for the intentions of the users or for the actions and omissions that result for them, unless this is legally binding or we are at fault. Otherwise, we are liable in accordance with the liability provisions communicated in these Terms of Use.
- The Integrated Services may process items protected by (copyright) law or the answers and results provided by the Integrated Services may contain items protected by copyright. The following applies in this respect: Users grant us the right, free of third-party rights, to pass on to the Integrated Services all items protected by (copyright) law that they process with our services and thus with the Integrated Services provided by us. In turn, we grant users the simple right to use the (copyright) protected works generated by the Integrated Services in accordance with the provisions of these Terms of Use in the context of using our services. In this respect, the provision on the granting of rights of use in accordance with these Terms of Use applies in particular.
11. data protection
- We collect, process and use personal data in connection with the provision of our MOCO Community. All information on how we handle personal data as part of the contract can be found in our privacy policy, which is available at any time at
https://agencyflow.io/datenschutz, available at
. - With regard to the personal data processed by users in our MOCO Community, if we have been commissioned by specific users to process personal data in accordance with instructions and for the intended purpose, we are processors within the meaning of Art. 28 GDPR. In this case, we will conclude a corresponding order processing contract in accordance with Art. 28 GDPR upon separate request.
- If users gain knowledge of personal data from us or third parties in the course of using our MOCO Community, they guarantee that they will only process this data in an authorized manner and for a contractually compliant purpose and in compliance with legal requirements.
12. secrecy
- In the course of the cooperation, both parties gain knowledge of trade secrets of the other party or third parties. A trade secret is information that is neither generally known nor readily accessible to persons who normally deal with this type of information, is therefore of commercial value and is therefore subject to appropriate confidentiality measures (see Section 2 GeschGehG). A trade secret is also information which is marked as a trade secret, which is protected by industrial property rights or copyright, which is subject to banking secrecy or data protection and for which there is a legitimate interest in confidentiality. Information that is known to the other party prior to disclosure, that has become known to the public after disclosure without the involvement of the disclosed party, that the disclosed party has learned from an authorized third party and that the disclosed party has developed itself is not a trade secret.
- The receiving party, as well as all those who come into contact with trade secrets in accordance with their intended purpose, are obliged to treat the trade secrets as strictly confidential and only to use them or disclose them to third parties and employees if this is necessary in connection with the business purpose. In all other respects, the receiving party shall protect the trade secrets from disclosure to third parties.
- Objects, files or other intangible objects containing business secrets must be deleted or returned to the disclosing party immediately at the request of the disclosing party or at the latest upon termination of the contractual relationship.
13. dealing with illegal content
We make the following regulations because we are obliged to do so under the “Digital Services Act”, the EU Regulation “(EU) 2022/2065 on a single market for digital services of the European Union”.
The Digital Services Act aims to establish rules that create a safe, predictable and trustworthy environment for people who use platforms and websites (hereinafter “Platform”) such as ours.
The Digital Services Act regulates in particular the handling of illegal content in our MOCO community and obliges us to take specific measures, which we describe in more detail in these “Regulations on the Digital Services Act”.
a. Moderation & justification of the deletion of illegal content
- We delete, block or restrict illegal content in our MOCO Community. “Content” within the meaning of this section is any information of any kind. This information is “illegal” if it violates our terms of use, service descriptions, guidelines or applicable law.
- Illegal content can be reported by users, customers, partners or third parties. For the process of such a reporting procedure, see lit. b “Reporting and redress procedure”.
- Insofar as content reported or recognized by us is unlawful and we have deleted, blocked or restricted it, we will justify our decision to delete, block or restrict this content and any suspension or termination of the provision of all or part of our services to the person who published the unlawful content, unless it is misleading, extensive commercial content. In this statement of reasons, we are particularly notifying the following points:
- Whether our decision concerns the removal of the information, the blocking of access to the information, the downgrading of the information or the restriction of the display of the information or the suspension or termination of payments in connection with that information, or imposes other specified measures in connection with the information, and the territorial scope of the decision, if any, and the duration of its validity;
- The facts and circumstances on which our decision is based, including, where appropriate, whether our decision was made as a result of a report made or as a result of voluntary investigations on our own initiative and, where strictly necessary, the identity of the person making the report;
- Information on whether automated means have been used for decision-making, including information on whether our decision was made in relation to content recognized or detected by automated means;
- If our decision concerns only “allegedly” unlawful content, a reference to the legal basis and an explanation of why the information is considered unlawful content on this basis;
- If our decision is based on the alleged incompatibility of the information with our Terms of Use, a reference to the relevant contractual provision and an explanation of why the information is considered incompatible with it;
- Information on whether the data subject has legal remedies against the measure, in particular – depending on the circumstances – internal complaints management procedures, out-of-court dispute resolution and judicial remedies.
- If a criminal offense has been committed through the publication of illegal content, or if the commission of a criminal offense is suspected as a result, we will immediately inform the law enforcement or judicial authorities of our suspicions.
b. Reporting and redress procedures
- We review unlawful content as soon as we become aware of any suspicion of the publication of such unlawful content. We become aware of this either through our own review or by reporting the relevant content to our central contact point (see c below).
- Illegal content can be reported directly online. Reports must be sent exclusively to our central contact point (see c below) and must contain at least the following information:
- A duly substantiated explanation of why the reporting person or organization considers the information in question to be illegal content;
- Clear indication of the exact storage/finding location of the content, e.g. by means of a precise URL and other useful information for identifying the content, e.g. screenshots, comments, etc;
- Name and e-mail address of the reporting person/entity, unless it concerns offenses related to sexual abuse, sexual exploitation, child pornography, contacting children for sexual purposes; including incitement and aiding and abetting or attempting to commit the aforementioned offenses (see EU Directive 2011/93/EU, Art. 3 to 7);
- A statement that the reporting person or entity has a good faith belief that the information and statements contained in the report are accurate and complete.
- We will immediately send an electronic confirmation of receipt of the notification to the contact details provided.
- We examine the reports received promptly, carefully, objectively and free of arbitrariness and decide whether the reported content is unlawful without a detailed legal examination and act accordingly. If the reported content is unlawful, we will immediately delete, block or restrict it and, if necessary, take further measures mentioned in lit. a para. 3.
c. Central contact point for communication
We have set up a central contact point for communication. This is responsible for receiving electronic reports of suspected illegal content from reporting persons and for inquiries from authorities or third parties relating to the handling of illegal content. Users must comply with the provisions of lit. b for the content of reports.
All persons, authorities or other bodies (press, affected parties, etc.) can report illegal content directly online using our procedure at:
hallo@agencyflow.io
We then take care of all notifications as part of the process mentioned in a-c.
14 Applicable law & place of jurisdiction
- All rights and claims arising from and in connection with the contract shall be governed by German law to the exclusion of the UN Convention on Contracts for the International Sale of Goods, unless mandatory statutory law takes precedence.
- If users act as companies or are merchants within the meaning of the German Commercial Code (HGB), our registered office is the place of jurisdiction for all disputes arising from this contract. In the case of contracts with consumers, the statutory provisions on the competent court shall apply.
- Information on § 36 VSBG: We do not participate in arbitration proceedings before a consumer arbitration board and are not obliged to do so.
15. other
- Should any provision of these Terms of Use be or become invalid or unenforceable, the remaining provisions of these Terms of Use shall remain unaffected, unless the omission of individual clauses would place a contracting party at such an unreasonable disadvantage that it can no longer be reasonably expected to adhere to the contract.
- Amendments and additions to the Terms of Use and the entire contract between us must be made in text form in order to be effective, unless the following explanations prescribe special formal or procedural requirements.
- Amendments and additions that we (must) make due to changed legal or technical requirements for our service provision and that have no negative impact on the services to which the users are entitled shall become effective if users do not object to an amendment in text form within one (1) month of receipt of a notification of amendment and we have informed the affected users in advance of their right to object. If users object to the change, the contract shall continue to apply unchanged and we shall be entitled to terminate the contract for cause with one (1) month’s notice to the end of the next calendar month.
- Amendments and additions to the contract that we wish to make due to changed service, remuneration or other commercial or operational requirements and which have a negative impact on our contractual relationship for users will only become effective if users expressly consent to them. This consent can be given by clicking a consent button in the notification of change (e-mail or pop-up when using our services) or in another simple and transparent way provided by us. If consent is not given, the contract shall continue to apply unchanged and we shall be entitled to terminate the contract within the contractually agreed notice periods.
- The text form also applies to any amendment to this formal clause. The precedence of individual ancillary agreements remains unaffected.
- The aforementioned deadlines do not apply and there is only a right to information about changes to the contract if the changes are necessary to avert an unforeseen and imminent danger in order to protect against fraud, malware, spam, breaches of data protection or other cyber security risks.
- Both parties are entitled to transfer the contract to a company affiliated with them, a legal successor or a company taking over the respective services. They shall inform each other of this in text form prior to the planned transfer.
II Services subject to a charge
16 Conclusion of the contract
- A contract for the use of chargeable services is concluded as follows:
- On our website/our MOCO Community, users will find information about the content and costs of the fee-based services we offer. This information does not constitute an offer to conclude a contract for the use of our services.
- Only by submitting the corresponding booking form do users submit a binding offer to us to conclude a contract for the corresponding services.
- Before submitting the booking form, we point out that the booking is subject to a charge and give you the opportunity to take note of these terms of use and other legally relevant regulations, such as a revocation policy.
- Furthermore, we give users the opportunity to check and, if necessary, correct their entries before submitting the booking form.
- After submitting the booking form, users will receive a confirmation of receipt of their booking from us to the e-mail address they have provided. This confirmation of receipt also constitutes acceptance of their offer to book the service.
- In this e-mail or in a separate e-mail, we will send users the text of the contract (consisting of the booking, terms of use and invoice) (contract confirmation).
- Upon full payment of the purchased services, users receive immediate access to the services.
17. remuneration & terms of payment
- The type and amount of remuneration for the service booked by users will be communicated to them during the booking process, in the booking overview and in the booking confirmation and, unless expressly stated otherwise, is subject to statutory VAT.
- Users are informed about the available payment methods during the booking process and can select the appropriate payment method from these.
- If we integrate third-party providers to process the payment transaction, their terms and conditions also apply.
- The remuneration for the services to be provided by us is generally to be paid by users in advance for the corresponding basic term. We are also entitled to invoice users for the respective remuneration for up to 12 months in advance.
- If a statutory or agreed payment deadline is not met, the user shall be in default immediately and we shall be entitled to charge interest on arrears accordingly.
